Authorized Resellers
Contract
This contract outlines the agreement between pair Networks and an approved Authorized Reseller. It sets the required qualifications and acceptable practices for Authorized Resellers, while setting forth the benefits and terms provided by pair Networks to the Authorized Reseller (hereafter referred to as the AR).
The AR agrees to all terms of the standard Service Contract for accounts, as well as the System Policies set forth by pair Networks on its Web site(s), including all future additions or modifications thereof.
The AR agrees not to employ any abusive practices, including but not limited to the transmission of unsolicited mailings or Usenet postings, in any fashion, in relation to the resale of pair Networks' services. The transmission of any such unsolicited or prohibited advertising or other unacceptable material, through any electronic medium, whether through pair Networks' facilities or not, is grounds for termination, at the sole discretion of pair Networks.
The AR agrees to submit its promotional materials, if any, for review by pair Networks. Hard copies are not generally required; electronic access, if possible, is preferred. The AR agrees that editorial changes may be required by pair Networks, at their sole discretion. The only intent of this requirement is to enforce standards of quality and etiquette; pair Networks will not interfere in the AR's acceptable and reasonable marketing plans or techniques, except as outlined in the previous paragraph.
The AR agrees to submit evidence that it meets pair Networks ' standards of quality for the value-added services that the AR provides. The AR asserts that all such submitted material is solely or substantially its own work, and is not a misrepresentation in any way. Prior work that is in actual use is greatly preferred, although other materials are acceptable, at the sole discretion of pair Networks. Hard copies are not generally required; electronic access, if possible, is preferred.
The AR agrees that acceptance into the Authorized Resale program is contingent upon pair Networks' approval of the submitted materials. Acceptance may be denied on this or any other basis, at the sole discretion of pair Networks.
The AR agrees to maintain a minimum of five active customer accounts (not counting multiple domain names or other add-ons) under one Billing Account Number for merged billing. If at any time this requirement is not being met, the AR will be reduced to Value-Added Reseller status.
The AR agrees to maintain their billing in good standing at all times. Repeat delinquencies will result in suspension from the AR program, and accounts will be subject to the normal rules of suspension for non-payment.
The AR agrees that if it is not accepting new customers for any reason, it will inform pair Networks of this, so that referrals may be directed to an AR who is actively seeking new customers.
The AR agrees not to re-refer its referrals to a third party without the prior approval of pair Networks. pair Networks recognizes that such referrals are appropriate or necessary under certain circumstances, but approval is required.
The AR agrees not to make use of other hosting services in cases where the services could reasonably be obtained from pair Networks. The AR specifically agrees that it will not take referrals with the intent of hosting the referred customers elsewhere.
The AR will receive a 10% discount on all monthly fees, and a 25% discount on all setup fees, for all accounts and services (excepting pairList, pairNIC, and other separate service programs). Higher monthly discounts apply on the same schedule as used for Value-Added Resale.
pair Networks will provide, at its own discretion, referrals from new inquiries to ARs for appropriate value-added services. ARs may also receive contacts from pair Networks.
The AR will have early access to new features and services from pair Networks, when such can reasonably be made available.
The AR agrees that it will not take steps to mislead its customers about the involvement of pair Networks in its Web hosting services. Conversely, pair Networks will not take steps to solicit any resold customer, nor will it provide value-added services of its own. The AR's investment in its customers is protected by the quality of its own value-added services.
Violation of any of the terms or conditions of this contract may result in the immediate termination of the AR's services with pair Networks, as well as the permanent discontinuation of the reseller relationship, at the sole discretion of pair Networks.
